1. Introduction
These Terms and Conditions govern access to and use of the Technik Energy Portal. The portal provides tools for energy and utility data reporting, tenant reporting, meter allocation, alarm monitoring, exports, audit logs and related administrative functions.
By accessing or using the portal, users agree to comply with these Terms and Conditions, the Privacy Policy and any applicable customer, service or subscription agreement.
2. Definitions
2.1 Portal
"Portal" means the Technik Energy Portal, including its dashboards, reports, administration pages, imports, exports, alerts, integrations, documentation and related online services.
2.2 User
"User" means any person authorised to access the portal, including super administrators, client or landlord administrators, building users, tenant users and operational users.
2.3 Customer
"Customer" means the client, landlord, managing agent, building operator, tenant organisation or other party that has been given access to the portal under a customer agreement or authorised arrangement.
2.4 Data
"Data" means information processed through the portal, including account data, building data, tenant data, meter data, utility readings, alarm data, import data, export data, audit data, reports and configuration records.
3. Acceptance and Authority
3.1 Acceptance
A user accepts these Terms and Conditions by accessing the portal, signing in, using the portal or otherwise indicating agreement. If a user does not agree, they must not use the portal.
3.2 Authority to act for an organisation
If a user accesses the portal on behalf of a company, landlord, managing agent, tenant organisation or other entity, the user confirms that they are authorised to do so and to bind that organisation to these Terms and Conditions where applicable.
3.3 Separate agreements
If a separate written agreement exists between Technik and a customer, that agreement applies in addition to these Terms and Conditions. If there is a conflict, the separate written agreement takes priority to the extent of the conflict.
4. Authorised Users and Account Access
4.1 Authorised access only
The portal may only be used by authorised users. Users must provide accurate account information and must not impersonate another person, misrepresent their identity or access information outside their authorised role.
4.2 Account security
Users are responsible for keeping usernames, passwords, multi-factor authentication methods and other access credentials secure and confidential. Users must not share credentials or allow unauthorised third parties to use their account.
4.3 Unauthorised access
Users must notify the relevant administrator or Technik promptly if they become aware of unauthorised access, suspected compromise, misuse of credentials or any security issue affecting the portal.
4.4 Suspension or restriction
Technik may suspend, restrict or remove access where necessary to protect the portal, comply with law, enforce these Terms and Conditions, investigate misuse, maintain security or apply customer access instructions.
5. Permitted Use
The portal may only be used for authorised business, energy, utility, building management, tenant reporting, alarm monitoring, administration, import, export and operational purposes.
Users are responsible for ensuring that their access and use of the portal complies with applicable laws, customer policies, contractual obligations and these Terms and Conditions.
6. Prohibited Use
Users must not:
- access or attempt to access accounts, data or areas of the portal without authorisation;
- share login credentials or bypass access controls;
- copy, scrape, harvest or extract data except through authorised portal functions;
- upload malicious code, viruses, harmful files or unlawful content;
- interfere with, disrupt, overload or compromise the portal or its infrastructure;
- reverse engineer, decompile, modify or create derivative works from the portal or its software;
- use the portal to send spam, unauthorised messages or unlawful communications;
- enter sensitive personal information unless specifically authorised and necessary;
- use the portal in a way that infringes intellectual property, privacy or other third-party rights;
- resell, sublicense or provide unauthorised access to the portal.
7. Customer Data and User Content
7.1 Responsibility for data entered into the portal
Customers and users are responsible for the accuracy, legality and appropriateness of information they enter, upload, import, configure or make available through the portal.
7.2 Use of customer data
Technik may process customer and user data as needed to provide, secure, support, maintain and improve the portal, generate reports, process imports and exports, monitor alarms, maintain audit logs and comply with applicable obligations.
7.3 Backups and retention
Data may be backed up, archived, retained or deleted in accordance with the applicable customer agreement, operational requirements, legal requirements, security requirements and retention practices.
7.4 Aggregated or anonymised data
Technik may use aggregated or anonymised data that does not identify a specific individual, customer, tenant or building for service monitoring, benchmarking, analytics, product improvement and reporting development.
8. Reports, Calculations and Data Accuracy
The portal provides dashboards, calculations, alarms, comparisons, reports and exports based on available source data. Outputs depend on the accuracy, completeness, timing and format of meter data, imported files, customer configuration and third-party systems.
Users are responsible for reviewing source data, assumptions, allocations, calculations and outputs before relying on them for billing, compliance, contractual, operational or financial decisions.
9. Imports, Exports and Integrations
The portal may support CSV imports, utility data imports, file exports, email exports, workflow integrations and third-party service connections. Customers and users are responsible for ensuring that uploaded files and connected systems are authorised, lawful, accurate and free from malicious content.
Technik is not responsible for errors, omissions, delays or losses caused by incorrect source files, incomplete data, customer configuration errors, third-party systems or unauthorised use of import or export functions.
10. Service Availability and Changes
Technik aims to provide a reliable service, but the portal may be unavailable from time to time due to maintenance, updates, infrastructure issues, security events, third-party services, customer data issues or circumstances outside Technik's reasonable control.
Technik may add, modify, suspend, restrict or discontinue features of the portal as part of maintenance, improvement, security, contractual management or operational changes.
11. Beta, Trial or Preview Features
Technik may make beta, trial, preview or experimental features available. These features may be incomplete, untested, interrupted, changed or removed. Use of such features is at the user's and customer's own risk.
12. Feedback
Users may provide suggestions, comments, ideas or feedback about the portal. Technik may use feedback without restriction or payment to improve, modify, develop, support or commercialise the portal and related services.
13. Intellectual Property
13.1 Technik materials
The portal, software, user interface, visual design, source code, documentation, reports, templates, workflows, branding, trademarks and related materials are owned by Technik or its licensors unless otherwise agreed in writing.
13.2 Limited right to use
Users receive a limited, revocable, non-exclusive, non-transferable right to access and use the portal only for authorised purposes and only while they remain authorised users.
13.3 Restrictions
Users must not copy, reproduce, modify, distribute, reverse engineer, resell, sublicense, remove proprietary notices from or create competing services based on the portal or Technik materials except where expressly authorised in writing or permitted by law.
14. Third-Party Services and Software
The portal may rely on or integrate with third-party services, including hosting providers, database services, email providers, monitoring services, authentication providers, cloud infrastructure, analytics, utility data sources and customer systems.
Third-party services may be subject to their own terms, policies and availability. Technik is not responsible for third-party services outside its control.
15. Privacy and Data Protection
Personal information is processed in accordance with the Privacy Policy and any applicable data protection agreement or customer agreement. Where applicable, customers and users must ensure that they have the necessary rights, notices, permissions and lawful bases to provide data to the portal.
16. Warranties and Disclaimers
The portal is provided on an "as is" and "as available" basis except where expressly agreed otherwise in writing. Technik does not guarantee that the portal will be uninterrupted, error-free, free from all security issues, or that all data, reports, alarms, exports or calculations will be complete, accurate or suitable for a particular purpose.
Nothing in these Terms and Conditions excludes or limits liability that cannot be excluded or limited under applicable law.
17. Limitation of Liability
To the extent permitted by law, Technik is not liable for indirect, incidental, special, consequential or exemplary losses, including loss of profit, revenue, goodwill, anticipated savings, business opportunity, data or use arising from or related to the portal.
Any liability of Technik arising from or related to the portal is limited to the amount specified in the applicable customer agreement. If no customer agreement specifies a limit, liability is limited to the amount paid for the affected service during the six months before the event giving rise to the claim.
18. Indemnity
Customers and users are responsible for losses, claims, costs or liabilities arising from unauthorised use of the portal, unlawful data uploaded or submitted to the portal, breach of these Terms and Conditions, breach of third-party rights, or misuse of account credentials.
19. Termination
Access to the portal may end when a customer agreement expires or is terminated, when a user is removed, when a contract period ends, when access is disabled, or where suspension or termination is required for security, legal, contractual or operational reasons.
Rights and obligations that by their nature continue after termination remain in effect, including payment obligations, confidentiality, intellectual property, data protection, restrictions on use, limitations of liability and dispute provisions.
20. Notices
Technik may provide notices by email, through the portal, through customer administrators or by other reasonable electronic means. Users are responsible for keeping account and contact details up to date.
Legal notices to Technik must be sent to [email protected]. Privacy requests must be sent to [email protected].
21. Force Majeure
Neither party is liable for delay or failure to perform caused by events beyond its reasonable control, including acts of God, war, terrorism, civil unrest, labour disputes, utility failures, internet or telecommunications failures, cyber incidents, supplier failures, government action, natural disasters or other events outside reasonable control.
22. Assignment
Users may not assign, transfer or delegate rights or obligations under these Terms and Conditions without prior written consent. Technik may assign or transfer its rights and obligations as part of a merger, acquisition, restructuring, sale of assets or similar transaction.
23. Severability and Waiver
If any provision of these Terms and Conditions is found to be invalid or unenforceable, the remaining provisions remain in effect. A failure to enforce a provision does not waive the right to enforce it later.
24. Governing Law
These Terms and Conditions are governed by the laws of England and Wales unless a separate customer agreement states otherwise.
25. Changes to These Terms
Technik may update these Terms and Conditions from time to time. The updated version will be made available through the portal and the "Last updated" date will be revised. Continued use of the portal after an update means the updated Terms and Conditions apply.
26. Entire Agreement
These Terms and Conditions, the Privacy Policy and any applicable customer agreement form the agreement governing use of the portal and replace prior understandings about that use, except where a separate written agreement expressly states otherwise.
